TERMS & CONDITIONS
1. Definitions
1.1 Franchisor: Green Bowl, the owner of the brand and its associated rights.
1.2 Franchisee: The party entering into this agreement to operate a Green Bowl franchise unit.
1.3 Agreement: This legally binding contract between the Franchisor and the Franchisee.
2.Franchise Grant & Fees
2.1 The Franchisor grants the Franchisee a non-transferable, non-exclusive right to operate a Green Bowl unit.
2.2 The Franchisee must pay a one-time franchise fee of ₹10,000, which is non-refundable.
2.3 The Franchisee cannot transfer or resell the franchise without written approval from the Franchisor.
3. Brand Usage & Operational Guidelines
3.1 The Franchisee must strictly adhere to the brand guidelines, including logo usage, menu items, and packaging.
3.2 The Franchisee is not allowed to alter the menu or pricing without prior approval.
3.3 The Franchisee must source ingredients from Franchisor-approved suppliers to maintain quality and consistency.
3.4 The Franchisee must ensure that the unit maintains proper hygiene, food safety, and customer service standards.
3.5 The Franchisee is responsible for obtaining all necessary local licenses and permits for operation.
4. Revenue Reporting
4.1 The Franchisee shall not be required to pay any royalty to the Franchisor.
4.2 The Franchisee must maintain proper sales records and share reports with the Franchisor on demand for transparency and operational oversight.
4.3 Any failure to provide sales records within the agreed timeframe may result in necessary actions as per the franchise agreement.
5. Training & Support
5.1 The Franchisor will provide initial training on food preparation, customer handling, and business management.
5.2 The Franchisee must ensure that all employees are trained according to Green Bowl’s standards.
5.3 The Franchisor may conduct periodic inspections to ensure quality and brand compliance.
6. Terms & Termination
7. Confidentiality & Non-Compete
7.1 The Franchisee must not share any proprietary recipes, business strategies, or operational secrets with third parties.
7.2 The Franchisee agrees not to start a competing salad or food business under a different name for [5] years after termination.
8. Liability & Indemnity
8.1 The Franchisee shall be solely responsible for any local legal or operational compliance issues.
8.2 The Franchisor shall not be liable for any customer complaints, food safety violations, or accidents at the Franchisee’s outlet.
8.3 The Franchisee agrees to indemnify and hold the Franchisor harmless from any legal claims arising from their unit’s operations.
9. Dispute Resolution
9.1 In case of a dispute, both parties agree to first attempt resolution through mutual discussion.
9.2 If no resolution is reached, disputes shall be settled through arbitration in [City/State].

10. Force Majeure
10.1 The Franchisor shall not be liable for any delays or failure to perform obligations due to unforeseen events such as natural disasters, pandemics, or government restrictions.
